The Brighton Spotlight Terms & Conditions

Operator: BR19HTON Ltd, trading as Brighton.co.uk (“we”, “us” or “our”)
Business Customer: The business entity submitting and/or paying for a listing (“you”, “your”, “Advertiser”, “Listing Owner”)

These Terms & Conditions form a legally binding agreement between BR19HTON Ltd and you for the provision of directory listing services through The Brighton Spotlight.

By submitting, claiming or managing a Listing, purchasing a paid plan, or continuing to use The Brighton Spotlight, you confirm that you have read, understood and agree to be bound by these Terms.

If you do not agree, you must not submit a listing or use The Brighton Spotlight.

Relationship with Other Policies

Our Website Terms & Conditions, Acceptable Use Policy and Privacy Policy also govern your use of Brighton.co.uk.
Where there is any conflict between these The Brighton Spotlight Terms & Conditions and the Website Terms & Conditions in relation to your Listing, Spotlight Subscription or billing, The Brighton Spotlight Terms & Conditions will take precedence.

Key Definitions

  • BR19HTON Ltd (we, us or our): BR19HTON Ltd, trading as Brighton.co.uk.
  • The Brighton Spotlight: The business directory, Listing and subscription service operated by BR19HTON Ltd through Brighton.co.uk.
  • Directory: The online business directory and related services available through Brighton.co.uk.
  • Listing: A business profile published within the Directory, including any text, images, logos, contact details, categories, links, offers and other Listing Content. Listings may be available with different features, visibility and subscription options.
  • Spotlight Listing: A Listing published within The Brighton Spotlight.
  • Listing Content: Any text, photographs, images, logos, videos, graphics, documents or other content submitted as part of a Listing.
  • Discover Plan: The free Listing plan currently offered through The Brighton Spotlight.
  • Grow Plan: A paid Listing plan currently offered through The Brighton Spotlight.
  • Elevate Plan: A paid Listing plan currently offered through The Brighton Spotlight.
  • Spotlight Subscription: A paid subscription for a Listing on a paid plan.
  • Subscription Period: The period for which a Spotlight Subscription has been purchased, as shown during checkout or within Your Account.
  • Fees: The charges payable for a Spotlight Subscription, excluding VAT unless expressly stated otherwise.
  • Your Account: Your registered Brighton.co.uk account used to create, manage or administer a Listing and any associated Spotlight Subscription.

1. Scope of These Terms

  1. These Terms apply only to The Brighton Spotlight and your Listing within it.
  2. These Terms are separate from any general website terms that apply to visitors of brighton.co.uk.
  3. If there is any conflict between these Terms and other documents, these Terms will apply for matters relating to your Listing and subscription services.
  4. Job Listings, Event Listings and Organiser Profiles are separate Brighton.co.uk services governed by the Website Terms & Conditions and Acceptable Use Policy. These Terms apply to a person submitting a Job Listing or Event Listing only where, and to the extent that, that person also creates, claims or manages a Spotlight Listing or purchases or manages a Spotlight Subscription. Linking a Job Listing or Event Listing to a Spotlight Listing does not make the submitter the Listing Owner or give them any right to manage that Spotlight Listing.

2. Eligibility and Authority

  1. By creating or managing a Listing, you confirm you are acting in the course of business, whether as a sole trader, partnership, limited company, or other commercial entity.
  2. You confirm the Listing relates to a genuine trading business operating in or serving Brighton & Hove (or the surrounding area where relevant).

3. Your Account and Security

  1. You are responsible for keeping login credentials secure.
  2. You are responsible for all activity under your account, including content updates and purchases made.
  3. You must notify us promptly if you suspect unauthorised access.

4. Listing Content Rules (Accuracy, Legality and Standards)

  1. You must ensure your Listing Content is accurate, current and not misleading.
  2. You must not submit content that:
    • is unlawful, fraudulent, defamatory, abusive, threatening or discriminatory
    • infringes intellectual property rights
    • contains malware, harmful code, or attempts to disrupt the Platform
    • includes misleading claims (including pricing, qualifications, “best in Brighton” style claims without evidence)
  3. You are solely responsible for your Listing Content, including compliance with:
    • advertising rules and consumer law (where relevant to your business)
    • sector-specific regulations (e.g., food, health, finance, trades)
  4. You are responsible for ensuring that your Listing and all Listing Content remain accurate, complete and up to date. You must promptly update your Listing if any information changes, including business details, contact information, opening hours, services, pricing or other material information.
  5. You confirm that you own, or have obtained all necessary rights, licences and permissions to upload and publish any Listing Content, including photographs, logos, videos, artwork, graphics and other media.
  6. Where your Listing Content includes identifiable individuals, you confirm that you have obtained any permissions or consents required for publication and promotional use.
  7. You must not upload images copied from third-party websites, social media platforms, search engines, stock image libraries or other sources unless you have the legal right to do so.
  8. Your obligations under section 18 apply to any breach of this section 4.
  9. We may request information or documentation to verify that you are authorised to create, claim or manage a Listing on behalf of a business at any time. We reserve the right to suspend or remove a Listing until satisfactory verification has been provided.

5. Our Role and No Endorsement

  1. The Brighton Spotlight is an advertising and discovery platform.
  2. We do not:
    • guarantee leads, enquiries, bookings or sales
    • verify the quality, legality or performance of listed businesses
    • endorse or recommend any business, product or service
  3. Customers remain responsible for choosing suppliers and services.

6. Listing Plans and Features

We offer three plans:

6.1 Discover (Free Plan)

A basic Listing, which may include limited core information such as business name, category, location and brief contact or descriptive details, as available at the time.

6.2 Grow Plan

Includes Discover features together with additional enhancements and visibility benefits, which may include extended content fields, media uploads, external links, expanded contact details, and broader category placement.

6.3 Elevate Plan

Includes Grow features together with additional premium enhancements and increased prominence within the Directory, which may include priority positioning, expanded category visibility, third-party integrations (where supported), eligibility for editorial consideration, and enhanced presentation across brighton.co.uk.

6.4 Changes to Plans

Features and functionality may change over time as we develop and improve The Brighton Spotlight. We may add, remove or modify features at our discretion, provided that we do not materially reduce a paid plan without offering a reasonable remedy.

  • We may update, improve, add to, or modify The Brighton Spotlight plans and features from time to time to improve our services or reflect changes to The Brighton Spotlight.
  • We may also change how Listings are displayed, including layout, design, and the method by which Listings are ordered or presented.
  • Where a change materially reduces the features included within a paid subscription, we will provide reasonable notice where reasonably practicable. Such changes may include the introduction of new features, retirement of existing features or changes to functionality.
  • You acknowledge that certain features may depend on third-party services (including review platforms), which may change or become unavailable outside of our control.

6.5 Separate Jobs and Events Services

A published Spotlight Listing must be selected before a user can submit or purchase a Job Listing or submit an Event Listing.

Unless expressly stated otherwise, Job Listings, Event Listings and Organiser Profiles are separate services and are not included features of the Discover Plan, Grow Plan or Elevate Plan.

Job Listings are subject to a separate one-off charge, approval process and publication period. Standard Event Listings are currently free to submit but may be subject to separate charges or paid promotional options in the future.

Any applicable eligibility requirements, charges and terms will be shown through the relevant service and will be governed by the Website Terms & Conditions.

7. Editorial Control and Approval

  1. We reserve the right to:
    • approve or reject Listings
    • edit formatting, layout, categories, or minor text for consistency and readability (without changing meaning)
  2. We are not required to provide a reason for refusing a Listing, but we may do so at our discretion.

8. Reviews and Third-Party Integrations

  1. Some plans may allow integrations with third-party review platforms or external services.
  2. You acknowledge that:
    • third-party services are outside our control
    • integrations may be unavailable, interrupted, or changed by the third party
    • we do not guarantee the accuracy of imported review data
  3. You must ensure you have the right to display or reference any third-party ratings, marks or content.

9. Fees, Billing and Payment Terms

  1. The Discover Plan is currently offered free of charge. Its availability and features may change in accordance with these Terms.
  2. Paid plans (Grow plan and Elevate plan) are charged in advance according to the pricing shown at checkout.
  3. Unless stated otherwise, Fees:
    • are payable upfront
    • are exclusive of VAT (VAT will be added if applicable)
  4. If we are unable to collect payment we may:
    • retry payment using your saved payment method;
    • notify you that payment has failed;
    • suspend premium Listing features;
    • downgrade your Listing to the Discover Plan; or
    • terminate your subscription where payment remains outstanding.
  5. We may offer promotional pricing, discounts, or introductory rates from time to time. Unless expressly stated otherwise in writing, such pricing applies only for the stated promotional period. At the end of that period, standard pricing in effect at the time will apply.

10. Subscription Renewals

  1. Paid plans are sold on a recurring subscription basis unless expressly stated otherwise at the time of purchase.
  2. Your subscription will automatically renew at the end of each Subscription Period for a further period of the same length unless cancelled before the renewal date.
  3. Renewal will be charged using the payment method on file at the applicable renewal price in effect at the time of renewal.
  4. Although we may send renewal reminders, it remains your responsibility to cancel before your next renewal date if you do not wish your subscription to continue.
  5. By purchasing a paid plan, you authorise us to take recurring payments in accordance with this section.

11. Price Changes

  1. We may change the Fees for any Spotlight Subscription from time to time. Any change will take effect from your next renewal date, provided we give you at least 30 days’ notice. If you do not agree to the new Fees, you may cancel your Spotlight Subscription before your next renewal date.

12. Cancellation and Refunds

This section sets out how cancellations and refunds work for The Brighton Spotlight.

12.1 Business-to-Business Service

  1. Brighton Spotlight paid plans are supplied to customers acting for purposes relating to their trade, business, craft or profession. By purchasing a paid plan, you confirm that you are acting as a business customer and not as a consumer. Consumer cancellation rights, including the statutory 14-day cooling-off period, do not ordinarily apply to purchases made wholly for business purposes.

12.2 How to Cancel

  1. You can cancel your Spotlight Subscription for the Grow Plan or Elevate Plan at any time:
    • through Your Account (where available), or
    • By contacting us at support@brighton.co.uk from the email address associated with your account
  2. Cancellation prevents future automatic renewals. Your Listing will continue to receive the features of your paid Spotlight Subscription until the end of your current Subscription Period, after which it will revert to the applicable Discover Plan (or any equivalent free plan available at that time), unless otherwise stated.
  3. Effect of Cancellation
    • Cancelling your subscription:
      • prevents future automatic renewals;
      • does not cancel your current Subscription Period;
      • does not normally entitle you to a refund for the current Subscription Period; and
      • does not affect any outstanding amounts already due.

12.3 Changing Your Spotlight Subscription

  1. You may upgrade or downgrade your Spotlight Subscription at any time through Your Account (where available) or by contacting us.
  2. Upgrades
    • If you upgrade your Spotlight Subscription, the new Subscription will take effect immediately. You will be charged the applicable Fees for your new Spotlight Subscription at the time of the upgrade, and a new Subscription Period will begin from the date of the upgrade.
  3. Downgrades
    • If you downgrade your Spotlight Subscription, the change will normally take effect at the end of your current Subscription Period. Your existing Spotlight Subscription and its associated features will remain available until then, after which your Listing will move to the selected plan and the applicable Fees (if any) will apply.
  4. Refunds
    • Upgrading or downgrading your Spotlight Subscription does not entitle you to a full or partial refund for any unused portion of your current Subscription Period, unless required by law or agreed by us in writing.

12.4 Monthly and Annual Subscription Refunds

  1. Monthly Subscriptions
    • Monthly subscriptions are generally non-refundable once your Listing has been published and is publicly accessible on Brighton.co.uk, except where required by law or where we agree otherwise in writing.
  2. Annual Subscriptions
    • Annual subscriptions are generally non-refundable once your Listing has been published and is publicly accessible on Brighton.co.uk. We may, at our discretion or where required by law, agree to a full or partial refund in exceptional circumstances.

12.5 Billing Errors and Other Refunds

We will provide an appropriate refund where you have been charged in error or where we have made a material billing error.

We may, at our discretion, provide a full or partial refund where we permanently withdraw the paid service during your Subscription Period and cannot provide a reasonable alternative.

12.6 No Refunds for Performance

We do not provide refunds for:

  • lack of enquiries, leads, bookings or sales
  • changes in search engine ranking or visibility
  • seasonal performance fluctuations
  • your business closing, relocating, changing ownership, or rebranding
  • customer reviews, ratings or feedback (including negative reviews)
  • third-party service outages or changes (including review platforms)

12.7 Cancellation After Renewal

  1. If your subscription renews and you then request cancellation, the cancellation will normally apply from the end of that renewed Subscription Period.
  2. We recommend cancelling before the renewal date to avoid being charged again.

12.8 Suspension or Removal for Breach

If we suspend or remove your Listing due to breach of these Terms:

  • you will not be entitled to a refund of any Fees paid for the remaining Subscription Period.

12.9 Late Payment and Debt Recovery

  1. If you owe Fees to us, we may suspend paid features until payment is made.
  2. Where applicable, we reserve the right to claim reasonable recovery costs and statutory interest on late commercial payments under the Late Payment of Commercial Debts (Interest) Act 1998.

13. Intellectual Property

  1. You retain ownership of the content you submit to your Listing.
  2. You grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, publish, display, store, adapt, resize, crop, compress, reformat and create derivative promotional materials from your Listing Content, including photographs, logos, images, videos, artwork, graphics and other media.
  3. This licence is granted for the purposes of operating, displaying, improving, marketing and promoting The Brighton Spotlight, brighton.co.uk and related services, including across our website, search results, newsletters, social media channels and other promotional materials.
  4. You may request removal of uploaded media from your Listing by editing your Listing or contacting us. We may retain copies where reasonably required for backups, legal compliance, dispute handling or record keeping.
  5. All rights in the Platform design, structure, layout, and database belong to BR19HTON Ltd or its licensors.
  6. You must not scrape, copy, reproduce or reuse our content, categories, structure or database without written permission.

14. Acceptable Use and Platform Protection

You must not:

  1. attempt to hack, disrupt, overload, or reverse engineer the Platform
  2. use the Directory to send spam or unsolicited marketing
  3. harvest data from Listings for bulk marketing without consent
  4. misuse our branding or falsely claim partnership or endorsement

15. Availability and Changes to The Brighton Spotlight

  1. We aim to keep the Platform available, but do not guarantee uninterrupted access.
  2. We may perform maintenance, updates or improvements that temporarily affect availability.
  3. We may determine search results, category placement, and visibility using automated systems, editorial decisions, paid plan, priority, or other ranking logic at our discretion. We do not guarantee a fixed position.
  4. Ranking and placement of Listings may change at any time without notice.

16. Limitation of Liability

  1. To the maximum extent permitted by law, we are not liable for:
    • loss of profits, revenue, business opportunity or goodwill
    • indirect or consequential losses
    • losses caused by third-party platforms or external services
  2. We do not guarantee:
    • specific placement, traffic levels, or performance outcomes
    • inclusion in editorial roundups or blog content
  3. Nothing in these Terms limits liability for:
    • death or personal injury caused by negligence
    • fraud or fraudulent misrepresentation
    • any liability that cannot legally be excluded

17. Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to:

  • internet outages
  • hosting failures
  • cyber attacks
  • third-party platform changes
  • acts of government
  • natural disasters
  • labour disputes
  • power failures.

18. Indemnity

You agree to indemnify and hold us harmless against claims, damages, costs, and expenses arising from:

  • your Listing Content
  • your breach of these Terms
  • your business practices, services, or customer disputes
  • any infringement of third-party rights caused by your content

19. Termination

  1. You may cancel your Spotlight Subscription in accordance with section 12. Cancellation of a Spotlight Subscription does not terminate the underlying Listing. Unless otherwise stated, the Listing will continue to receive paid features until the end of the current Subscription Period and will then revert to the applicable Discover Plan or equivalent free plan available at that time.
  2. We may suspend or remove your Listing and/or terminate your Spotlight Subscription immediately if you materially breach these Terms.
  3. Where we terminate your Spotlight Subscription or remove your Listing for breach::
    • your licence to use paid features ends
    • we may remove or disable your Listing
    • outstanding Fees remain payable
  4. Our Right to Edit, Suspend or Remove Listings

    We may edit, suspend, reject or remove a Listing, temporarily or permanently, where we reasonably believe that:

    • it breaches these Terms or our Acceptable Use Policy;
    • information within the Listing is materially inaccurate, misleading or out of date;
    • the Listing infringes the intellectual property or other rights of another person;
    • publication of the Listing may expose BR19HTON Ltd to legal or regulatory liability;
    • the business is no longer trading or cannot be reasonably verified; or
    • removal is reasonably necessary to protect the integrity, reputation or operation of Brighton.co.uk.

20. Data Protection

  1. We will process personal data in accordance with the UK GDPR and the Data Protection Act 2018.
  2. Our Privacy Policy explains how we handle personal data and is incorporated by reference.
  3. You must ensure that any personal data you include in your Listing is lawful to publish (e.g., staff email addresses, phone numbers).

21. Notices and Communications

  1. We may contact you using the email address linked to your account for:
    • service messages
    • renewal reminders
    • billing notifications
    • compliance or moderation queries
  2. Legal notices should be sent to: support@brighton.co.uk.

22. Changes to These Terms

  1. We may update these Terms from time to time to reflect changes to Brighton Spotlight, changes in law or regulation, security, technical or operational requirements, or improvements to clarity and user experience.
  2. Updated Terms will be posted on brighton.co.uk and will take effect from the stated “Last Updated” date.
  3. Continued use of The Brighton Spotlight after changes constitutes acceptance.

23. Entire Agreement

These Terms, together with the Website Terms & Conditions, Privacy Policy and any other documents expressly incorporated into them, constitute the entire agreement between you and BR19HTON Ltd relating to your Listing and Spotlight Subscription.

24. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will remain in full force and effect.

25. No Waiver

If we delay or fail to enforce any provision of these Terms, this does not prevent us from enforcing that provision or any other provision later.

26. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms.

27. Assignment

We may transfer or assign our rights and obligations under these Terms to another organisation in connection with the sale, transfer or restructuring of Brighton.co.uk or its business, provided that doing so does not materially affect your rights under these Terms.
